Commercial Agency & Monetization Agreement

AND: ILIKE NETWORK (PRIVATE) LIMITED (The "Agent" / "Company")

1. APPOINTMENT OF AGENT

The Principal is the owner of specific "Digital Ad Inventory" (Ad Slots) within the App Ecosystem. The Principal hereby appoints the Company as its Exclusive Commercial Agent to manage, populate, and monetize this inventory.

2. SCOPE OF SERVICES

The Agent is authorized to sub-contract ad placements to third-party networks, including but not limited to Google AdMob, Unity Ads, and Meta Audience Network. The Agent shall use its best efforts to maximize the Effective Cost Per Mille (eCPM) rates for the Principal.

3. REVENUE SHARING (VARIABLE COMMISSION)

The Principal is entitled to the "Net Ad Revenue" generated specifically by their allocated ad inventory slots through third-party mediation.

• Gross Revenue: Total ad income received from third-party advertiser networks.
• Agent Performance Fee: The Company shall retain a variable commission (ranging from 15% to 55%) to cover server costs, API maintenance, R&D, and active campaign management.
• Performance Bonus Cap: Any ad revenue generated that exceeds the agreed "Target eCPM Threshold" for a given campaign period shall be retained by the Agent as a performance bonus for exceptional ad optimization.

4. RISK DISCLOSURE & NO GUARANTEE

The Principal acknowledges that Ad Revenue is volatile and depends strictly on market traffic and third-party advertiser budgets. The Agent does not guarantee any fixed daily income or interest. If third-party networks fail to fill ad requests, revenue may be zero. The Principal accepts this commercial risk.
